Contract & Regulations
Overview
Lester Communications Inc. provides advertising services across print and digital platforms, including magazines, directories, calendars, e-newsletters, websites, and sponsored content. These services may be delivered in partnership with affiliated industry associations ("Association Partners"). All advertising is subject to the terms and conditions outlined below.
Booking & Campaign Commitments
Advertising may be purchased as single insertions, multi-issue campaigns, or multi-platform programs. Rates are based on agreed campaign commitments. Frequency or program discounts apply only if the full commitment is fulfilled. If a campaign is cancelled prior to completion by the advertiser or its agency, Lester reserves the right to adjust rates to the applicable short rate and invoice the advertiser for the difference.
Deadlines, Materials & Design Services
All advertising materials must be supplied by the specified deadlines for each publication or campaign. Failure to supply materials on time may result in, at Lester’s sole discretion:
- Use of previously supplied creative
- Omission of the advertisement
- Loss of reserved placement
In such cases, the advertiser remains liable for the full cost of the advertisement, and no refunds or credits will be issued. All materials must meet Lester’s technical specifications. Lester reserves the right to reject or request modification of materials that do not meet these requirements. Design services are not included in advertising rates. Advertisers may purchase design assistance at a flat rate at the time of booking. This service includes up to two proofs. Additional revisions or design work beyond two proofs will be billed at Lester’s standard rates.
Cancellations & Changes
All cancellations must be submitted in writing. For print publications, cancellations received after the published closing date will be charged in full. For digital campaigns, cancellations or changes may require advance notice. Mid-campaign cancellations are not guaranteed a refund. Positioning requests, including premium placements, are not guaranteed unless confirmed in writing by Lester. Lester, or its Association Partners, reserves the right to cancel or reject any advertising order at any time, including after acknowledgment or prior publication, without affecting the advertiser’s financial obligations under the applicable rate commitment. In such cases, no short-rate adjustment shall apply.
Payment Terms
Invoices are issued upon mailing of print publications or at the time of booking for digital campaigns, unless otherwise agreed. Payment terms are Net 30 days from invoice date. Lester reserves the right to:
- Charge interest on overdue balances
- Suspend or cancel current and future advertising
- Withhold premium placements or future insertions
- Require prepayment for new or delinquent accounts
In the event of termination of advertising services due to non-payment or breach of these terms, all outstanding charges, including any applicable short-rate adjustments, shall become immediately due and payable. The advertiser and/or its agency shall be jointly and severally liable for all amounts due. The advertiser agrees to pay all reasonable costs associated with the collection of overdue accounts, including legal and administrative fees.
Digital & Sponsored Content
Lester does not guarantee specific performance metrics, including but not limited to impressions, click-through rates, or open rates. Performance may vary based on audience behaviour, timing, and external factors beyond Lester’s control. Lester reserves the right to label content as 'Sponsored', 'Advertisement', or similar. Lester and its Association Partners maintain editorial independence at all times.
Publisher’s Rights & Liability
Lester and/or its Association Partners reserve the right to refuse, reject, or cancel any advertisement at their sole discretion. Lester may require modifications to advertisements to meet publication standards. Ad placement may be adjusted due to production or editorial requirements. In the event of an error attributable to Lester, liability is limited to the cost of the advertisement. Lester may, at its discretion, provide a make-good advertisement in a future issue or campaign.
Force Majeure
Lester shall not be liable for delays or failure to publish due to events beyond its control, including but not limited to production disruptions, association delays, supply chain issues, acts of God, labour disputes, or technology failures. Lester will make reasonable efforts to reschedule or provide alternative value.
Governing Law & Jurisdiction
These terms and conditions shall be governed by and construed in accordance with the laws of the Province of Manitoba and the laws of Canada applicable therein. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Winnipeg, Manitoba.
General
All advertising is accepted subject to these terms and conditions. These terms may be updated at any time without prior notice. Placement of advertising constitutes acceptance of these terms.
